Board of Directors Introduction
The Board of Shareholders is the organ of power of the Company. It makes decisions on significant matters such as capital increase, profit distribution and election of directors/supervisors.
The Board of Directors is the highest governing authority responsible for the strategy, business management and customer satisfaction of the Company. It undertakes the mission of leading the Company forward, exercises the right to make decisions on strategic and business management, and ensures that the interests of customers and shareholders are safeguarded.
The sixth session of the Board of Directors of the Company consists of 9 directors, including 6 non-independent directors and 3 independent directors, with a reasonable and efficient composition. The non-independent directors all have decades of experience in business management and research in the chemical industry. They are well-positioned to determine the Company’s strategic direction of development. The independent directors are composed of experts in the chemical industry, finance and law. They can further improve the Company’s ability to make scientific decisions and guard against risks.
The main duties of the Board of Supervisors include supervision of the performance of duties of the directors/senior management, supervision of the Company’s operations and financial status, and compliance supervision.

Mr. Johnson Qin
Chairman of the Board
Mr. Johnson Qin was born in 1967. He is a Chinese national and has no permanent residence overseas. He graduated from the Chemical Engineering Program of the Chemical Engineering Department of Xiangtan University in 1990 with a bachelor’s degree in engineering. He has served as a researcher at the Zhuzhou Chemical Research Institute in Hunan Province, Manager of the Import and Export Department of Shenzhen Branch of Hunan Provincial Petrochemical Trading Co., Ltd., General Manager of Shenzhen Capchem Co., Ltd. and Director and General Manager of Shenzhen Capchem Chemicals Co., Ltd. . He has been Chairman of the Board of Directors and General Manager of the Company since April 2008 and has been Chairman of the Board of Directors of the Company since March 2010.
Mr. ZHOU Dawen
President
Mr. Zhou Dawen was born in 1963. He is a Chinese national and has no permanent residence overseas. He graduated from the Institute of Process Engineering (formerly the Institute of Chemical Metallurgy) of the Chinese Academy of Sciences with a master’s degree in engineering in 1988. He has served as Section Chief, Deputy Director and Director of the Corporate Management Department of Shenzhen Petrochemical Industry Group Co., Ltd., Deputy General Manager and Senior Engineer of Shenzhen Petrochemical Silicone Co., Ltd., Chairman of Shenzhen Capchem Co., Ltd. and Director, Executive Vice General Manager and Senior Engineer of Shenzhen Capchem Chemicals Co., Ltd. He currently holds social positions as Vice Chairman of the Shenzhen New Materials Industry Association and President of the Huizhou New Materials Industry Association. He has been Director, Deputy General Manager and Secretary to the Board of Directors of the Company since April 2008 and has been Director and President of the Company since March 2010.
